These Terms of Service ("Terms") govern your access to and use of the RackCity.ai website, application, and related software and services (collectively, the "Service"), operated by Rack City AI, doing business as RackCity.ai ("Rack City AI", "RackCity", "we", "us"). By accessing or using the Service, you agree to be bound by these Terms and you consent to the data practices described in them. If you do not agree, do not access or use the Service.
The Service — including all software, source code, layout and design algorithms, data models, user interface, “look and feel”, text, graphics, documentation, and the underlying product concept, know-how, and business methods (collectively, and excluding your User Inputs as defined in Section 4) — is the exclusive property of Rack City AI and is protected by copyright, trademark, trade-secret, and other intellectual property laws. “RackCity”, “Rack City AI”, the RackCity logo, and related names and marks are trademarks of Rack City AI. All rights not expressly granted to you are reserved, and nothing in these Terms transfers to you any ownership of, or other right or interest in, the Service or any of our intellectual property.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own internal warehouse-planning purposes. You may not, in whole or in part:
(a) copy, reproduce, republish, frame, mirror, or distribute the Service or any portion of its source code, output, or content; (b) decompile, disassemble, reverse-engineer, or otherwise attempt to derive the source code, algorithms, models, or structure of the Service, except to the limited extent applicable law expressly permits notwithstanding this restriction; (c) modify, adapt, translate, or create derivative works of the Service; (d) sell, rent, lease, sublicense, distribute, or otherwise commercially exploit the Service; (e) remove, obscure, or alter any copyright, trademark, proprietary, or other notice contained in the Service or its source files; (f) use the Service, its outputs, or any information about its design or operation to build, train, or improve any product, service, dataset, or machine-learning model that competes with or is substantially similar to the Service; (g) access the Service to monitor its availability, performance, or functionality for any competitive purpose, or to copy its features, workflow, or user interface; or (h) use any robot, scraper, or other automated means to access, extract, or index any part of the Service.
You agree not to use the Service to violate any law, infringe the rights of others, or interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, or related systems.
“User Inputs” means all information and content you submit to, or generate through, the Service, including warehouse designs and dimensions, project names and site addresses, text prompts and instructions, uploaded files (such as building flyers, PDFs, and images), and related metadata.
As between you and us, you retain ownership of the original warehouse designs you create. You nevertheless grant Rack City AI a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, transferable, and sublicensable license to host, store, retain, back up, reproduce, process, analyze, display, and create derivative works from your User Inputs in order to operate, secure, maintain, improve, and develop the Service — including using User Inputs to train, fine-tune, and evaluate our own product features and models. Some User Inputs (for example, a text prompt or an uploaded building flyer) are also sent to a third-party AI provider solely to generate a response to that request; we do not thereby grant that provider any independent right to use your data beyond what is necessary to return that response. We may create and retain de-identified, aggregated, or statistical data derived from User Inputs, and such derived data is owned solely by us and is not subject to the foregoing ownership reservation.
Data release, consent, and your rights. You expressly consent to our collection, storage, retention, and use of your User Inputs and associated usage data (including IP address and telemetry) as described in these Terms, for as long as necessary for the purposes above unless you request deletion as described in our Privacy Policy. To the maximum extent permitted by law, you release Rack City AI and its directors, officers, employees, and agents from claims arising out of our good-faith retention, storage, processing, or permitted use of your User Inputs consistent with this Section and our Privacy Policy. You represent and warrant that you have all rights necessary to submit your User Inputs and to grant the rights in this Section, and that your User Inputs do not infringe or violate the rights of any third party.

If you provide us with any ideas, suggestions, feature requests, or other feedback regarding the Service (“Feedback”), you agree that the Feedback is non-confidential, that we may use, reproduce, and exploit it for any purpose without restriction, attribution, or compensation to you, and that all Feedback becomes our exclusive property.
The Service embodies valuable trade secrets, proprietary know-how, and a proprietary product concept and design that are confidential to Rack City AI. You agree not to disclose, publish, or make available to any third party any non-public aspect of the Service, and not to use any aspect of the Service, its concept, design, algorithms, or workflow to develop — or to assist any third party in developing — a product or service that competes with or is substantially similar to the Service. These obligations are in addition to, and do not limit, the restrictions in Section 2, and they survive any termination of your access.
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, or non-infringement. Warehouse layouts, bills of materials, budgets, and other outputs produced by the Service — including outputs generated with the help of artificial intelligence — are conceptual planning and estimation tools only. They do not constitute structural engineering advice and are not a substitute for professional engineering, structural, or safety review. Rack configurations must be reviewed and approved by a qualified rack engineer, structural engineer, or manufacturer representative, and must comply with ANSI/RMI MH16.1 and any other applicable code or standard as advised by your rack manufacturer, before ordering or installing any rack system. Rack City AI accepts no liability for structural failures, safety violations, code non-compliance, or other damages resulting from reliance on Service outputs without such review.
To the maximum extent permitted by law, Rack City AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of the Service. To the maximum extent permitted by law, Rack City AI's total aggregate liability arising out of or relating to the Service shall not exceed the greater of (a) the fees you paid us for the Service in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).
You agree to defend, indemnify, and hold harmless Rack City AI and its directors, officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Inputs, your use of the Service, or your breach of these Terms.
You acknowledge that any breach of Sections 1, 2, 5, or 6 would cause Rack City AI irreparable harm for which monetary damages would be an inadequate remedy. Accordingly, we are entitled to seek injunctive or other equitable relief to enforce those provisions, in addition to any other remedies available at law or in equity, without the necessity of posting a bond.
We may suspend or terminate your access to the Service at any time, with or without cause or notice. The provisions governing intellectual property, restrictions, user inputs and data release, feedback, confidentiality, disclaimers, limitation of liability, indemnification, and equitable relief survive termination.
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules, and you and Rack City AI submit to the exclusive jurisdiction of the state and federal courts located in King County, Washington for any dispute arising out of or relating to these Terms or the Service.
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
